Key Responsibilities:

* Assist the Corporate Secretary in the organisation of Board meetings including the preparation of Board and Committee packs.

* Monitoring of share plan dilution limits and main board directors and executive officer's shareholdings.

* Production of Annual Filing Documents for the Parent Company (including MIC and AIF).

* Organisation and input to the AGM.

* Implementation of the company's approach to GDPR compliance.

* To act as corporate secretary to one or more board committees as required.

* Oversight of the governance of all Group subsidiaries (currently at 130 companies).

* Organisation of overseas subsidiary board meetings.

* To ensure the proper keeping of corporate records (including the timely update of the Blueprint database).

* To assist in ad-hoc projects (including restructurings/financing arrangements/other ad hoc projects).

* To assist with other ad hoc tasks (such as director changes, company acquisitions and disposals, liquidations etc).

* Keeping up to date and current key company policies, including the Board Manual, Insider Policy (and insider lists), Code of Conduct, Whistleblowing Policy, Corporate Disclosure Policy.

Qualifications:

* Chartered Company Secretary.

Experience & Skills:

* Between two and four years post qualification experience gained at an international listed company.

* Experience in building a small team.

* Strong working knowledge of Blueprint.

* Strong organisation skills.

* Canadian experience desirable but not essential.

Behavioural Traits:

* Self-starter with strong initiative and a can do attitude.

* Ability to operate and influence and building strong professional relationships at all levels.

* A high level of integrity and accountability for their work with strong attention to detail.

* If required be prepared to travel (not guaranteed).
