The Kinross Corporate Head Office is located in downtown Toronto and supports Kinross operations and projects worldwide. Corporate functions include Finance, Procurement, Health & Safety, Human Resources, IT and Investor Relations.

Job Description

As an integral member of the head office legal department in Toronto, this role assists with the management and administration of the Company’s legal affairs and issues.

Job Responsibilities

1. Contracts 

a. Provides legal leadership for Supply Chain and Projects - reviews/negotiates/drafts and provides advice in respect of a broad range of contracts (with particular emphasis on supply chain, EPCM, contruction contracts and confidentiality agreements) and, as necessary, engages/manages outside counsel in their performance of same

b. Ensures that contracts and contract administration are compliant with applicable laws, corporate policies and objectives

c. Oversees the development and review of standard form contracts in consultation with applicable internal functional leaders, internal regional counsel and external advisors


2. Policies, Regulatory Filing and Corporate Governance

a. Accountable for the management and enforcement of the Supply Chain Policy

b. Assists with the implementation, administration and enforcement of core corporate policies/procedures, including driving employee education programs and an annual review process, and leads other policy drafting/review initiatives

c. Advises on matters related to subsidiary governance/maintenance and securities compliance

d. Manages certain annual and quarterly disclosure drafting and review


3. Litigation

a. Manages non-material litigation and supports legal team in the management of material litigation

b. Assists with quarterly and annual audit enquiries

4. Transactions

a. Advises on ordinary course corporate transactions, including reviewing/negotiating/drafting applicable transaction documents

b. Supports legal team in advising senior management on matters related to mergers and acquisitions, and finacings, including conducting and managing due diligence, participating in the negotiation/review/drafting of transaction documents and providing other transactional support/advice

c. Assists Corporate Development department with the management of the electronic data room  

5. General

a. Contributes to strategic operational initiatives for legal department such as development of a global procurement strategy

b. Provides general legal support for project development and supply chain matters, and other initiatives as required

c. Regularly liaises with and provides legal analysis/advice to projects and supply chain personnel and members of a senior managment and other functional leaders on a variety of legal issues

d. Provides support to regional internal counsel as required

e. Stays abreast and updates legal department regarding material legal developments, particularly in the projects and procurement areas, and applies best practices

Education and Experience

  • Undergraduate degree
  • Law degree from an accredited Canadian or U.S. law school
  • Qualified to practice law in Canada and/or the U.S.
  • 2-4 years of general corporate/commercial law practice experience with a top tier law firm or in-house with a blue chip company.
  • Projects/procurement experience is desirable
  • Work experience in the natural resources industry, preferably in mining, would be an asset
  • Superior analytical, negotiation, writing and drafting skills, particularly involving transactional and other contractual arrangements
  • Organized and detail oriented, with an ability to prioritize, meet deadlines and work effectively, individually and as part of a team, in a dynamic, fast-paced, challenging environment
  • Highly motivated, independently driven, and able to work independently with minimal supervision
  • Strong business orientation and acumen, with an ability to advise senior management
  • Excellent interpersonal and communication skills

Additional Information & Closing Date

Work is complex and requires strong business acumen and organizational knowledge; industry experience is an asset. Work is performed with general authority and directly impacts the performance of the Legal department and the operations and processes in other areas across the organization.
